1. Appointment and title
The Owner appoints Reluxit as exclusive agent to market and sell the consigned merchandise during the consignment period. Title remains with the Owner until the merchandise is sold to a buyer; Reluxit does not purchase the merchandise.
The Owner warrants that the Owner is the lawful owner of the merchandise, that it is free of liens and encumbrances, that it is genuine, and that all information provided about it is accurate.
2. Acceptance and authentication
Submission does not guarantee acceptance. Reluxit may decline any item. Accepted merchandise is received, inspected and authenticated by Reluxit before it is listed. Merchandise that fails authentication is not listed and is handled under section 8.
Only merchandise that Reluxit has physically received and authenticated may be presented as authenticated by Reluxit.
3. Commission and payout
Reluxit's commission (the "Commission") is agreed individually with the Owner for each consignment. Reluxit records the agreed rate on the consignment and presents it to the Owner, and the Owner's in-app acceptance of that exact rate is recorded with a server timestamp. Merchandise is not published for sale until the Owner has accepted the current Commission; if the rate changes, it must be accepted again.
The Owner's payout is the final sale price less the Commission agreed for that consignment and less any fees expressly disclosed to the Owner.
Payout to the Owner is initiated after the buyer's transaction completes, including expiry of the buyer's 48-hour inspection window and resolution of any dispute or refund.
Payouts are made by Stripe transfer to a Stripe Express payout account in the Owner's name. Merchandise is not published until the Owner has completed payout setup.
If a sale is reversed, refunded or charged back after payout, the Owner agrees to return the corresponding payout amount to Reluxit.
4. Pricing
Reluxit sets the listing price in consultation with the Owner and may adjust pricing over the consignment period to achieve a sale. Where the Owner has specified a minimum acceptable price, Reluxit will not sell below it without the Owner's agreement.
5. Consignment period
The minimum consignment period is 90 days from the date Reluxit receives the merchandise, unless otherwise agreed in writing. During this period the Owner may not withdraw the merchandise or sell it elsewhere.
After the minimum period, the consignment continues on a rolling basis until either party gives written notice of withdrawal. A sale already agreed with a buyer before notice is given will be completed.
6. Custody
Reluxit's physical custody of the merchandise begins when Reluxit takes physical receipt of the merchandise at its designated facility and records it as received.
Reluxit's physical custody ends at the earlier of: (a) the moment the merchandise is tendered to a carrier for outbound shipment to a buyer or back to the Owner; or (b) the moment the merchandise is collected by or physically handed back to the Owner or the Owner's authorised representative.
Merchandise in transit to or from Reluxit, while in the care of a carrier, is not in Reluxit's physical custody.
7. Insurance
Eligible consigned merchandise is covered by Reluxit's applicable insurance while the merchandise is physically in Reluxit's possession, subject to the terms, conditions, coverage limits, exclusions and deductibles of the applicable insurance policy.
Merchandise in transit to or from Reluxit, whether inbound or outbound, is not in Reluxit's physical possession. Whether Reluxit's applicable insurance provides any coverage during carrier transit is determined by the terms, conditions, coverage limits, exclusions and deductibles of that policy.
The Owner is responsible for insuring merchandise during inbound shipment to Reluxit. The Owner should declare value and arrange carrier coverage accordingly.
Coverage is not unlimited and is not a guarantee of full replacement value. Specific limits, deductibles and exclusions are those of the applicable policy and are available on request.
8. Unsold merchandise and returns
Merchandise that remains unsold, is withdrawn after the minimum consignment period, or is not accepted following inspection or authentication will be returned to the Owner on the Owner's written authorisation.
The Owner normally pays the cost of authorised return shipping for eligible unsold merchandise. Reluxit will confirm the return method and cost before dispatch and may require payment in advance.
Merchandise that the Owner does not authorise for return, and for which Reluxit cannot obtain instructions, will be held and handled in accordance with applicable abandoned-property law after written notice to the Owner.
Merchandise reasonably suspected to be counterfeit or unlawfully obtained will not be returned or sold and may be reported to the relevant authorities.
9. Owner obligations
Provide accurate descriptions, documentation and provenance; disclose known defects, repairs and alterations; respond to Reluxit's requests; and keep contact and payout information current.
10. Liability
Except for the insurance described in section 7 and liability that cannot be excluded by law, Reluxit's liability for loss of or damage to the merchandise is limited to the amount actually recovered under the applicable insurance policy for that loss.
Reluxit is not liable for indirect or consequential loss, or for loss of expected sale proceeds.
11. Acceptance, term and law
The Owner accepts this Agreement in-app at submission. Acceptance, the agreement version and the timestamp are recorded by the server and cannot be set or altered by the Owner's browser.
This Agreement is governed by the laws of the State of Tennessee, and the state and federal courts located in Tennessee have exclusive jurisdiction.
